1. Agreement & Scope of Services

1.1 Service Engagement: By requesting our services, you enter into a business agreement with TechNBoost (By Parker Software Inc.), where we provide services such as software development, web & mobile app development, digital marketing, branding, graphic designing, AI & ML solutions, telecommunication services, and more.
1.2 Project Scope: The scope of work, deliverables, timelines, and pricing will be agreed upon before project initiation. Any additional requests outside the agreed scope may incur additional charges.
1.3 Written Confirmation: A formal agreement, email confirmation, or signed contract will be required before commencing any project.

2. Payments & Billing

2.1 Payment Structure: Payments are structured as follows, unless otherwise agreed:

• 50% upfront payment before the project begins.
• 25% payment upon milestone completion (if applicable).
• Final 25% payment upon project delivery before the final handover.

2.2 Late Payments: Delayed payments beyond the due date may result in:

• Service suspension until payment is received.
• Late fee charges as per our company policy.

2.3 Refunds & Cancellations:

• Payments are non-refundable once the project has begun, except under exceptional circumstances.
• If the client terminates the project mid-way, the amount paid will be adjusted based on the work completed.
• If TechNBoost Pvt. Ltd. cancels a project due to unforeseen reasons, a partial refund may be processed.

2.4 Payment Methods: We accept payments via bank transfer, credit/debit cards, UPI, PayPal, and other specified payment gateways.

3. Project Timelines & Delivery

3.1 Project Deadlines: Estimated project timelines will be shared before commencement. However, delays may occur due to:

• Client unresponsiveness or delayed approvals.
• Technical challenges beyond our control.
• Scope changes requested by the client.

3.2 Revisions & Modifications:

• Each project includes a limited number of free revisions as per the agreement.
• Additional revisions beyond the agreed limit will be charged extra.

3.3 Approval & Acceptance:

• Once a project is delivered, the client must review and approve it within 7 days. If no response is received, the project will be considered approved & accepted.

4. Confidentiality & Data Protection

4.1 Client Data: We respect your privacy. Any information shared with TechNBoost Inc. is kept confidential and will not be shared with third parties without consent.
4.2 Non-Disclosure Agreement (NDA): If required, we can sign an NDA to protect sensitive business information.
4.3 Data Ownership:

• Custom software, websites, and other deliverables created for the client remain the property of the client upon full payment.
• Any pre-built software, frameworks, or tools provided by TechNBoost remain our intellectual property.

5. Intellectual Property & Usage Rights

5.1 Ownership:

• Upon full payment, clients own the final product but cannot resell or redistribute it without our consent.
• TechNBoost reserves the right to use project work in our portfolio, case studies, and marketing materials, unless agreed otherwise.

5.2 Third-Party Licenses:

• If a project involves third-party plugins, APIs, stock images, or software, the client is responsible for obtaining proper licenses.
• We are not liable for any licensing issues arising from third-party resources used in the project.

6. Support & Maintenance

6.1 Post-Delivery Support: We offer a limited support period (as defined in the contract) for bug fixes and minor modifications after project delivery.
6.2 Extended Support & Maintenance: Ongoing maintenance services can be provided under a separate service agreement.

7. Termination of Services

7.1 By Client: Clients can terminate a service agreement with written notice. Payments made for work completed up to the termination date are non-refundable.
7.2 By TechNBoost (By Parker Software Inc.): We may terminate services if:

• The client violates our terms or engages in unethical business practices.
• There are excessive delays in payment.
• The client engages in abusive, fraudulent, or illegal activities.

8. Limitation of Liability

• TechNBoost Inc. is not responsible for any losses, damages, or business disruptions arising from the use of our services.
• We do not guarantee specific business outcomes, revenue, or success from the implementation of our solutions.
• In case of disputes, our maximum liability is limited to the amount paid by the client for the specific service.

9. Force Majeure

TechNBoost Inc. will not be held liable for any failure or delay in service delivery due to unforeseen circumstances beyond our control, such as:

• Natural disasters, pandemics, or lockdowns.
• Cyberattacks, server failures, or third-party service interruptions.
• Government regulations or other legal restrictions.

10. Governing Law & Dispute Resolution

• These Terms & Conditions are governed by the laws United states of America.
• Any disputes will first be attempted to be resolved amicably. If unresolved, disputes shall be subject to arbitration or legal proceedings in the jurisdiction United States of America.

11. Amendments & Updates

TechNBoost Inc. reserves the right to update these Terms & Conditions at any time. Clients will be notified of major changes, and continued business engagement implies acceptance of the new terms.
